Terms of Use
These Terms of Use (“Terms”) govern your access and use of the software, services, applications, and Dashboard Platform (“Platform”) provided by Blocsoft Limited (“Blocsoft,” “we,” or “us”). By accessing or using the Platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Platform, you confirm that you are legally authorized to accept these Terms on behalf of yourself or your organization. If you do not agree, do not access or use the Platform.
2. User Eligibility
You must be at least 18 years old and have the legal authority to enter into binding agreements in your jurisdiction. Use on behalf of an organization requires appropriate authorization.
3. License and Access
Blocsoft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for internal business operations and subject to these Terms. You shall not:
- Reverse engineer or decompile the Platform;
- Use the Platform for any unlawful purpose;
- Sell, sublicense, or distribute access;
- Interfere with or disrupt security, performance, or integrity of the Platform;
- Use the Platform in violation of applicable laws or regulations.
4. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and all activity under your account. You agree to:
- Use the Platform in compliance with all applicable laws;
- Notify Blocsoft immediately of any unauthorized access or use;
- Refrain from misrepresenting your identity or affiliation.
Blocsoft reserves the right to investigate any suspected violation of these Terms.
5. Data and Intellectual Property
All data inputted by you remains your exclusive property. You grant Blocsoft a limited right to access and process such data solely for the purpose of delivering services under these Terms. All intellectual property rights in the Platform, including all enhancements, upgrades, modules, documentation, and underlying technology, remain the exclusive property of Blocsoft or its licensors. You agree not to:
- Remove, alter, or obscure any proprietary notices;
- Challenge Blocsoft’s ownership of the Platform.
6. Service Availability
Blocsoft strives to maintain platform uptime and availability. However, we do not guarantee uninterrupted access. Scheduled maintenance or unplanned outages may occur. Blocsoft will use reasonable efforts to notify users in advance of any planned service disruptions.
7. Termination
Blocsoft may suspend or terminate your access to the Platform, with or without notice, if: You breach these Terms; Required by law or court order; Continued use may result in legal liability or harm to the Platform or others. Upon termination, all licenses granted herein shall cease, and you must delete all local copies of any confidential materials.
8. Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. Blocsoft disclaims: Warranties of merchantability, fitness for a particular purpose, or non-infringement; That the Platform will be uninterrupted, error-free, or free of harmful components; That the results from using the Platform will meet your expectations.
9. Limitation of Liability
To the fullest extent permitted by law, Blocsoft shall not be liable for: Indirect, incidental, special, or consequential damages; Loss of profits, data, goodwill, or business opportunities; Damages exceeding the amount paid by you in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the legal theory and even if Blocsoft has been advised of the possibility of such damages.
10. Indemnity
You agree to indemnify and hold harmless Blocsoft, its affiliates, employees, contractors, and licensors from any claims, liabilities, damages, costs, and expenses (including legal fees) arising from: Your use or misuse of the Platform; Your violation of these Terms; Your violation of any law or third-party rights.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict of law principles. Any disputes shall be subject to arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798), seated in Accra, Ghana.
12. Modifications
Blocsoft reserves the right to update these Terms at any time. Any changes will be effective upon posting or notification. Continued use of the Platform after changes constitutes your acceptance.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and Blocsoft with respect to the Platform and supersede all prior or contemporaneous understandings.
Privacy Policy
Blocsoft Limited (“Blocsoft,” “we,” or “us”) respects your privacy. This Privacy Policy describes how we collect, use, and protect your information when you use our services and Dashboard Platform.
1. Information We Collect
We may collect the following information:
- Contact details (e.g., name, email, phone)
- Business profile information
- User account and login credentials
- System access logs, IP addresses, and usage metadata
- Any files, data, or content uploaded to or generated through the Platform
2. How We Use Your Information
We use collected information to:
- Deliver and improve our services
- Provide technical support and customer service
- Enforce our Terms of Use
- Conduct analytics and security audits
- Fulfill legal obligations
3. Legal Basis for Processing
Blocsoft processes personal data in accordance with the Ghana Data Protection Act, 2012 (Act 843), based on: Your informed consent; Contractual necessity; Compliance with legal obligations; Legitimate business interests (e.g., fraud prevention, product development).
4. Data Retention
We retain personal data only as long as reasonably necessary to: Fulfill the purposes described in this Policy; Comply with legal and regulatory obligations; Resolve disputes and enforce agreements. You may request deletion of your personal data, subject to exceptions under applicable law.
5. Data Security
Blocsoft implements administrative, technical, and physical safeguards to protect data, including: Role-based access controls; Encryption at rest and in transit; Secure coding practices; Routine penetration testing and audits.
6. Sharing of Information
We do not sell or rent your personal data. We may share your information: With trusted third-party service providers under confidentiality agreements; In response to lawful requests by public authorities; To enforce our Terms, protect rights or safety, or detect fraud.
7. International Transfers
If personal data is transferred outside Ghana, Blocsoft will ensure appropriate safeguards such as: Standard contractual clauses; Equivalent data protection mechanisms recognized by law.
